Web Design Agreement
This Website Design Agreement is entered on this day 03/11/2026, by and between Hilltop Church, with an address of 3588 Romans Rd. Carson City, NV 89705 (the “Client”) and Carson Web Design, with an address of 1125 Kingsley Ln. Carson City, NV 89701 (the “Designer”), collectively referred to as the “Parties.”
Project Description. Client wishes to hire Designer to create a Website. The specific requirements and the details as stated by Client are outlined in the scope of work below.
Revisions. Client shall be entitled to 7 revisions. Any revisions beyond that shall be charged at $100/hour, billed in 15-minute increments.
Payment. A deposit of $0 is required before starting. The remaining balance of $1,000 is due upon final delivery.
Confidentiality. Designer will not disclose or use Client’s proprietary information outside the scope of this Agreement, during or after its completion.
Ownership Rights. Client retains ownership of all proprietary information provided. Designer may only use it for the purposes of the project. Final website design ownership transfers to Client upon project completion.
Out of Scope. Additional work beyond the defined scope will require a new estimate and contract.
Deliverables. Client must provide required deliverables (logos, artwork, photos, etc.) within 21 days of request. After 21 days, a $100 reactivation fee will apply.
Cancellation. Either party may cancel the project at any time. Work completed will be billed at $100/hour, not to exceed the total project amount. Work will be provided to the Client up to the point of cancellation.
Breach of Contract. The accused party has 30 days to resolve any alleged breach.
Copyright. Client is responsible for rights to all materials provided. Designer will only use content that is royalty-free or properly licensed.
Disclaimer of Warranties. Designer makes no guarantees regarding business outcomes from the Website.
Limitation of Liability. Neither party is liable for indirect damages, including lost profits, delays, or third-party claims.
Legal Fees. In a dispute, the successful party is entitled to legal fees, including attorney costs.
Legal Action. Jurisdiction for any legal action will be in the Designer’s location.
Legal and Binding Agreement. This is a legal and binding agreement valid in the U.S. and Europe. Both Parties affirm they have the authority to enter into this Agreement.
Scope of Project
The Contractor will provide a full redesign of the Client’s website using WordPress and the Divi theme framework. A lifetime Divi license is included as part of this project. The website will be fully functional, professionally designed, and customized to reflect the Client’s brand and needs. Standard Features will include: - A custom design with modern, dynamic layouts and full responsiveness across desktop, tablet, and mobile devices. - Integration of multimedia functionality, including full-screen video modules and other rich content elements. - Access to Divi’s premium drag-and-drop editor, making it simple for the Client to update and manage content moving forward. - Installation and configuration of security software to help protect the website against unauthorized access, hacking attempts, and disruptions. - Events management and calendar integration - Blog and article publishing capability - Contact forms with email notifications E-Commerce / Donations Functionality: In addition to the standard website features, the Contractor will implement and configure an e-commerce solution to allow the Client to accept donations online. This will include: - Installation and configuration of a WordPress e-commerce/donation plugin (such as WooCommerce or a comparable donation platform). - Setup of donation products/options, including custom amounts and recurring donation capabilities (if supported by the chosen plugin). - Integration with a secure payment gateway (e.g., PayPal, Stripe, or another mutually agreed provider). - Basic setup of transaction confirmations, receipts, and donor notification emails. - Testing of the donation system to ensure proper functionality prior to launch. Ongoing Hosting, Support, and Security: The Contractor will provide ongoing hosting, support, and security services for the website at a rate of $50 per month. This monthly service includes: - Secure web hosting and monitoring. - Regular updates to WordPress core, Divi, and installed plugins. - Security monitoring and threat prevention. - One (1) hour of labor per month for website content updates or minor changes, as requested by the Client. (Additional hours will be billed separately at the Contractor’s standard hourly rate.) The Contractor will ensure the completed site is delivered in a secure, user-friendly, and fully operational state, ready for the Client’s ongoing use and updates.

While Designer will customize Client’s Website to specifications, the underlying structure may use pre-existing templates owned by the Designer. The Designer retains all rights to such templates.
Designer: Warrants the right to perform this Agreement and that any designs provided are original or properly licensed. Designer will compensate for any issues arising from a breach of this warranty.
Client: Warrants the rights to all proprietary content provided. Client will be responsible for any resulting damages due to misrepresentation of ownership.
The Parties agree to the terms set forth above, as demonstrated by their signatures.
