Web Design Agreement

This Website Design Agreement is entered on this day 06/24/2026, by and between The Intimate Flame, with an address of 4450 Enterprise St St.107, Fremont, CA 94538 (the “Client”) and Carson Web Design, with an address of 1125 Kingsley Ln. Carson City, NV 89701 (the “Designer”), collectively referred to as the “Parties.”

Project Description. Client wishes to hire Designer to create a Website. The specific requirements and the details as stated by Client are outlined in the scope of work below.

Revisions. Client shall be entitled to 5 revisions. Any revisions beyond that shall be charged at $100/hour, billed in 15-minute increments.

Payment. A deposit of $0 is required before starting. The remaining balance of $500.00 is due upon final delivery.

Confidentiality. Designer will not disclose or use Client’s proprietary information outside the scope of this Agreement, during or after its completion.

Ownership Rights. Client retains ownership of all proprietary information provided. Designer may only use it for the purposes of the project. Final website design ownership transfers to Client upon project completion and full payment.

Out of Scope. Additional work beyond the defined scope will require a new estimate and contract.

Deliverables. Client must provide required deliverables (logos, artwork, photos, etc.) within 21 days of request. After 21 days, a $100 reactivation fee will apply.

Cancellation. Either party may cancel the project at any time. Work completed will be billed at $100/hour, not to exceed the total project amount. Work will be provided to the Client up to the point of cancellation.

Breach of Contract. The accused party has 30 days to resolve any alleged breach.

Copyright. Client is responsible for rights to all materials provided. Designer will only use content that is royalty-free or properly licensed.

Disclaimer of Warranties. Designer makes no guarantees regarding business outcomes from the Website.

Limitation of Liability. Neither party is liable for indirect damages, including lost profits, delays, or third-party claims.

Legal Fees. In a dispute, the successful party is entitled to legal fees, including attorney costs.

Legal Action. Jurisdiction for any legal action will be in the Designer’s location.

Legal and Binding Agreement. This is a legal and binding agreement. Both Parties affirm they have the authority to enter into this Agreement.

Scope of Project

Contractor shall design, develop, and launch a professional business website for Client using WordPress and the Divi Theme Builder. The website will include, but is not limited to, the following: * Custom website design tailored to Client's fireplace sales business and branding. * Setup and configuration of WordPress and Divi. * Creation of pages showcasing the Client's fireplace products and services. * Development of company information pages, including content provided by Client. * Contact form setup to allow visitors to submit inquiries directly through the website. * Mobile-friendly and responsive design for desktop, tablet, and mobile devices. * Basic search engine optimization (SEO) configuration, including page titles, descriptions, and website structure. * Integration of premium design elements and media features as deemed appropriate by Contractor, which may include video backgrounds, image galleries, animations, calendars, maps, icons, stock assets, or other visual enhancements. * Website testing, revisions, and launch support. Contractor shall perform all website setup, design, development, configuration, and implementation work necessary to complete the project. Client shall provide all required content, including text, logos, images, product information, and other materials necessary for website development unless otherwise agreed in writing. ### Hosting Client may choose to host the website with a hosting provider of their choice. If Client elects to use independent hosting, Contractor will provide the completed website and assist with deployment as reasonably necessary. As an optional service, Contractor may provide website hosting and maintenance for an additional fee of Fifty Dollars ($50.00) per month. Hosting services are separate from website development services and may be canceled by either party with thirty (30) days written notice. ### Revisions The project includes reasonable revisions during the design and development process. Requests that substantially alter the original project scope, require significant additional development, or add new functionality beyond the agreed scope may be subject to additional charges and will require written approval from Client before work proceeds. ### Exclusions Unless specifically stated elsewhere in this Agreement, the project does not include ongoing content updates, custom software development, e-commerce functionality, advanced integrations with third-party systems, copywriting, photography, videography, digital marketing services, or search engine ranking guarantees.

Summary

While Designer will customize Client’s Website to specifications, the underlying structure may use pre-existing templates owned by the Designer. The Designer retains all rights to such templates.

Designer: Warrants the right to perform this Agreement and that any designs provided are original or properly licensed. Designer will compensate for any issues arising from a breach of this warranty.

Client: Warrants the rights to all proprietary content provided. Client will be responsible for any resulting damages due to misrepresentation of ownership.

The Parties agree to the terms set forth above, as demonstrated by their signatures.
